Terms of Service

 

1.         Acceptance of Terms. 

By accessing or using the Cora IQ platform, website, web application, portal, and related content and services (collectively, the “Services”), you (the “User,” “you,” or “your”) agree to be bound by these Terms of Service (“the Terms”). If you are accepting the Terms on behalf of a company, legal entity or other third-party, you represent that you have the unrestricted authority to bind that entity or third-party to all of the Terms. If you do not agree to the Terms, do not access or use any portion of the Services.

Cora IQ, LLC (“Cora IQ,” “we,” “us,” or “our”) reserves the right to change, revise, update, modify, amend and/or terminate (collectively, “Changes”) any portion of the Terms at any time. Your continued access and/or use of the Services following notice of any such Changes constitutes your acceptance of the Terms as Changed.

2.         Description of Services. 

Cora IQ is a subscription-based SaaStra platform that provides website content quality analysis, scoring, reporting, and task management capabilities. The Services include, but are not limited to:

• AI-powered content quality scoring (“Cora Scores”).
• Technical SEO and accessibility analysis via third-party Lighthouse audits.
• Automated page scanning, issue detection, and content task generation.
• Reporting dashboards and sitewide health summaries.

The Services are delivered via our web application hosted on Microsoft Azure, with front-end infrastructure provided by Vercel. AI-powered content analysis is performed using Google Gemini large language models (“LLM”). By using the Services, you acknowledge and accept the involvement of these third-party infrastructure and AI providers.

3.         Subscription, Billing, and Renewal.

The Services are provided on a subscription basis. By subscribing, accessing and using our Services, you agree to the following:

• Fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan).
• Subscriptions automatically renew unless canceled prior to the renewal date.
• All fees are non-refundable except as required by law.
• Cora IQ reserves the right to change pricing at any time upon reasonable prior notice.
• Failure to timely pay your subscription fee may result in suspension or termination of access to the Services, at the sole discretion of Cora IQ.

Cora IQ reserves the right to suspend or terminate access to the Services for non-payment, violation of these Terms, suspected fraudulent, suspicious or unlawful activity, security concerns, or misuse of the Services.

4.         Scores, Metrics, and Outputs — Nature and Limitations. 

4.1 Directional and Indicative Nature of Scores. Cora IQ produces scores, metrics, ratings, recommendations, and analysis (collectively, “Outputs”) to help users understand and improve their website content quality. These Outputs are intended to serve as directional indicators and operational guidance tools only. They do not represent absolute, guaranteed, or certified measures of website performance, search engine ranking potential, business value, operational results, revenue impact, or any other commercial outcome.

Cora Scores are calculated using a combination of:

• AI-generated rubric assessments (model-produced, not deterministic).
• Third-party Lighthouse technical audits.
• Weighted scoring algorithms subject to change.

Because Outputs are generated in part by AI language models, they may contain errors, omissions, biases, or inaccuracies. Scores may vary between runs even without changes to underlying content due to the probabilistic nature of AI models.

4.2       Not a Substitute for Professional Judgment.  Cora IQ Outputs are not a substitute for professional SEO advice, legal counsel, financial analysis, or any other expert professional guidance or advice. Users should independently verify Outputs and exercise their own professional judgment before taking action based on Cora IQ results.

4.3       No Guarantee of Search Engine Results. Cora IQ Outputs, scores and recommendations do not guarantee, predict, or imply any specific outcome or result with respect to search engine rankings, organic traffic, conversion rates, revenue, operational results, competitive advantage in the marketplace or any other business results. Search engine algorithms are controlled by third parties and change frequently. Improvements in Cora Score do not guarantee improvements in search engine positioning, website traffic, business performance or any other results.

4.4       Scores Are Subject to Change.  Scoring methodologies, rubric weights, AI models, and underlying data sources may be updated or modified at any time to improve quality or reflect changes in industry standards. Such changes may cause previously generated scores to differ from newly generated scores for the same content, even if no content changes were made. Cora IQ is not liable for any impact resulting from such scoring methodology changes, and your continued use of and access to our Services and Cora IQ Outputs constitutes your acceptance of any and all scoring methodology changes.

4.5       Not Suitable for High-Stakes Financial Decisions. You expressly acknowledge and agree that Cora IQ Outputs are not suitable as the primary or sole basis for significant financial, business, investment, operational, M&A, valuation, legal, compliance, or regulatory decisions. Any such use is at your sole risk. Cora IQ expressly disclaims any and all direct or indirect liability for any losses, liabilities, damages, expenses, or adverse outcomes arising from use of Cora IQ Outputs and our Services in such contexts, and you expressly agree to hold Cora IQ and its officers, members, managers, employees, affiliates, licensors, agents and representatives harmless therefrom.

4.6       AI Responsibility and Use. You acknowledge that AI-generated Outputs may contain inaccuracies, errors, omissions, biases, or unintended results. You are solely responsible for evaluating and using Outputs and for any decisions made based on them. Outputs are not intended for use in legal, financial, investment, regulatory, valuation, compliance, or other high-risk or high-stakes decision-making contexts or purposes.

4.7  Customer Responsibility for Use of Outputs. You are solely responsible for reviewing, validating, and determining the appropriateness of any Outputs generated through the Services. Cora IQ shall not be responsible for any actions taken, business decisions made, or outcomes resulting from reliance on Outputs, recommendations, scores, or analyses generated by the Services, and you expressly agree to hold Cora IQ and its officers, members, managers, employees, affiliates, licensors, agents and representatives harmless therefrom.

5.         Disclaimer of Warranties.

THE SERVICES AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CORA IQ EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USAGE.
• WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENTNESS OF ANY OUTPUT, SCORE, OR RECOMMENDATION.
• WARRANTIES THAT THE SERVICES WILL BE ERROR-FREE, TIMELY, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.
• WARRANTIES THAT OUTPUTS WILL REFLECT REAL-WORLD SEARCH ENGINE RANKINGS OR BUSINESS OUTCOMES.
• WARRANTIES THAT AI-GENERATED CONTENT WILL BE FREE FROM INACCURACIES, MISTAKES, ERRORS, BIAS, OR OMISSIONS.

CORA IQ MAKES NO WARRANTY, EITHER EXPRESS OR IMPLIED, THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.

6.         Limitation of Liability. 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: 

6.1     IN NO EVENT SHALL CORA IQ, OR ANY OF ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AFFILIATES, LICENSORS, AGENTS AND/OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUE, INCOME, DATA, REPUTATION, OR BUSINESS OPPORTUNITIES.
• LOSS RESULTING FROM RELIANCE ON SCORES, METRICS, OR RECOMMENDATIONS OR THE SERVICES.
• LOSS RESULTING FROM CHANGES IN SCORING METHODOLOGY, OUTPUTS OR AI MODEL BEHAVIOR.
• DAMAGES ARISING FROM DECISIONS MADE BASED ON CORA IQ OUTPUTS.

6.2      CORA IQ’S MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL BE LIMITED TO THE GREATER OF: (a) ONE HUNDRED U.S. DOLLARS (USD $100.00); OR (b) THE AMOUNTS YOU HAVE PAID TO CORA IQ IN THE THREE (3) MONTHS PRECEDING THE DATE ON WHICH THE CLAIM AROSE.

6.3      THE LIMITATION OF LIABILITY SET FORTH HEREIN APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, GROSS NEGLIGENCE, INTENTIONAL ACT OR OMISSION, STRICT LIABILITY, STATUTORY, COMMON LAW, OR OTHERWISE), EVEN IF CORA IQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.         Third-Party Services and Infrastructure. 

The Services rely on third-party infrastructure and AI providers, including without limitations Microsoft Azure, Vercel, and Google Gemini. Cora IQ does not warrant and is not responsible for:

• The availability, accuracy, inaccuracy, errors, omissions, or performance of any third-party provider.
• Changes to third-party APIs, models, or infrastructure that affect Outputs.
• Security incidents, data breaches, privacy breaches, content, or service interruptions or down-time caused by or associated with third-party providers.

Use of and access to the Services constitutes your acknowledgment of and consent to the involvement of these third-party services. You are responsible for reviewing the applicable terms of service and privacy policies of these third-party providers. Cora IQ shall not be liable for errors, omissions, losses, damages, liabilities, delays, interruptions, inaccuracies, negligence, or failures caused by third-party providers, infrastructure services, telecommunications failures, internet outages, cyberattacks, security breaches, events or consequences beyond Cora IQ’s reasonable control.

8.         Acceptable Use (Data Responsibility). 

You agree not to use the Services to:

• Violate any applicable law, statute, rule, regulation, or the Terms.
• Crawl, scrape, or index websites without authorization from the website owner.
• Introduce malicious code, malware, viruses, or interfere with or disrupt the Services.
• Attempt to reverse engineer, decompile, deconstruct, or extract source code from the Services.
• Resell or sublicense access to the Services without written authorization from Cora IQ.
• Process or submit personally identifiable information of third parties through the Services in violation of applicable privacy laws. You are responsible for ensuring that any data, content, information, or URLs submitted to us in connection with the Services comply with all applicable laws, including privacy and data protection laws.
• Upload, process, utilize, or analyze content, data or information that infringes the intellectual property rights, violates confidentiality obligations, or otherwise violates applicable law.
• Interact with or utilize any Cora inquiry or chat functions or devices that does not relate to the Services and/or your website.

9.         Account Security. 

You are responsible for maintaining the confidentiality, privacy and security of your account credentials, for all incidents of access or attempted access to your account, and all activities that occur under or in association with your account. Cora IQ is not liable for any loss or damage arising from unauthorized access resulting from your failure to safeguard account access credentials and account information. You must promptly notify Cora IQ of any unauthorized use of or access to your account or any suspected security breach.

10.       Intellectual Property. 

All software, algorithms, scoring methodologies, visual interfaces, reports, and other materials comprising the Services are the exclusive confidential and proprietary intellectual property of Cora IQ or its licensors. The Terms do not grant you any ownership rights in the Services. You retain ownership of your website content and data submitted to the Services.

By submitting content, URLs, information or data to the Services, you grant Cora IQ a perpetual, irrevocable, non-exclusive, worldwide, fully paid-up, royalty-free license and right to use, process, analyze, and display such content, URLs, information and data for the purpose of providing and improving the Services, and such other uses as Cora IQ may reasonably require in the ordinary course of Cora IQ’s business. Cora IQ may also use aggregated and anonymized data for analytics, benchmarking, product development, marketing and other business purposes.

Cora IQ is not responsible for the legality, accuracy, integrity, quality, or reliability of any customer-submitted content, URLs, information, or data processed through the Services, and you expressly agree to hold Cora IQ and its officers, members, managers, employees, affiliates, licensors, agents and representatives harmless therefrom.

11.       Confidentiality. 

Cora IQ will treat customer information and data as confidential and will not disclose such data to third parties, except as necessary to provide the Services or as required by law. We implement reasonable safeguards to protect the confidentiality of your information.

12.       Feedback. 

If you provide suggestions, comments, feedback, enhancement requests, or recommendations regarding the Services (“Feedback”), Cora IQ may use such Feedback without limitation, restriction or obligation to you (financial or otherwise), and you hereby grant Cora IQ a perpetual, irrevocable, worldwide, fully paid-up, royalty-free license and right to use and incorporate all or any portion of such Feedback into the Services.

13.       Indemnification. 

You agree to defend, indemnify, and hold harmless Cora IQ and its officers, members, managers, employees, affiliates, agents and representatives from and against any and all claims, liabilities, law suits, injuries, damages, losses, and expenses (including without limitation reasonable attorneys’ fees and expert witness fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party right.

14.     Governing Law; Jurisdiction and Dispute Resolution. 

The Terms and the Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under or related to the Terms or the Services shall be resolved by binding arbitration located in Ft. Myers, Florida, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction where and when necessary to protect intellectual property or confidential information of a party. You agree to accept the exclusive and personal and subject matter jurisdiction of such courts for these purposes and agree not to challenge the jurisdiction of such courts on any basis, whether legal, equitable or otherwise. The parties agree that electronic records and electronic acceptance of the Terms shall have the same legal effect as signed written agreements.

Any claim or cause of action arising under the Terms must be commenced within one (1) year after the cause of action accrues, or it shall be permanently barred. 

15.       Modifications to the Services.

Cora IQ reserves the right to modify, amend, change, suspend, or discontinue the Services (or any part thereof), including without limitation scoring methodologies, AI models, and feature availability, at any time with or without notice. Cora IQ shall not be liable to you or any third party for any such modification, amendment, change, suspension, or discontinuation, and you expressly agree to hold Cora IQ and its officers, members, managers, employees, affiliates, licensors, agents and representatives harmless therefrom. Cora IQ does not guarantee uninterrupted or error-free operation of the Services and may perform maintenance or updates that temporarily affect availability. Cora IQ may suspend access to the Services temporarily for scheduled maintenance, emergency maintenance, security events, or infrastructure upgrades.

16.       Beta Services.

From time to time, Cora IQ may offer features or functionality designated as beta, pilot, temporary, or early access (“Beta Services”). Beta Services are provided for testing and evaluation purposes and may contain errors, omissions, defects, or inaccuracies. Cora IQ makes no guarantees regarding the performance, reliability, or availability of Beta Services and may modify or discontinue them at any time without notice.

17.       Entire Agreement. 

The Terms, together with the Privacy Policy below and any applicable subscription agreement or order form, constitute the entire agreement and understanding between you and Cora IQ with respect to the Services, whether oral or written, and supersede all prior agreements, representations, or understandings. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision without the express written consent of Cora IQ, which may be withheld in the sole discretion of Cora IQ.

18.       Compliance with Laws.

You agree to use the Services in compliance with all applicable laws, rules and regulations, including export control and sanctions laws. You may not use the Services in jurisdictions where such use is prohibited.

19.       Assignment. 

You may not assign or transfer the Terms or the Services or any rights under the Terms or Services without the prior written consent of Cora IQ, which may be withheld in the sole discretion of Cora IQ. Cora IQ may assign these Terms and the Services without restriction in connection with a merger, acquisition, business reorganization, exchange, or sale of assets or equity.
